AMENDED AND RESTATED

8. AMENDMENTS
- Amendments to the ByLaws shall be proposed and adopted in the following manner:

A. Initiation - An amendment may be proposed by either a majority of the Board of Directors or by ten percent of the membership of the Association, and after being proposed and approved by one of such bodies it must then be submitted for approval by the other.

B. Notice of the subject matter of a proposed amendment shall be included in the notice of any meeting at which a proposed amendment is considered.

C. A Resolution adopting a proposed amendment must receive approval of a majority of the votes of the Board ofDirectors and two-thirds (2/3) of the voting interests present in person or by proxy, and voting at a duly called meeting of the Association.

D. Effective Date - An amendment when adopted shall become effective only after being recorded in the Public Records of Lee County, Florida. A recorded copy of such amendment shall be distributed to membership.
