EXHIBIT "D" TO THE DECLARATION OF CONDOMINIUM

SUBSTANTIAL REWORDING OF THE ORIGINAL BYLAWS.

1. IDENTITY - These are the Amended and Restated ByLaws of BRANDYWINE CONDOMINIUM ASSOCIATION, INC., a corporation not for profit organized pursuant to Chapter 617, Florida Statutes, for the purpose of administering BRANDYWINE CONDOMINIUM, located in Fort Myers, Lee County, Florida. All prior are hereby revoked and superseded in their entirety.

A. Office - The office of the Association shall be 1398 South Brandywine Circle, Fort Myers, Florida.

B. Fiscal Year -The fiscal year of the Association shall be the calendar year.

C. Seal - The seal of the Association shall bear the name of the Association, the word "Florida", and year of establishment.

D. Definitions - The terms used in these shall have the same definitions and meanings as those set forth in Chapter 718, Florida Statutes, the "Condominium Act", as well as those set forth in the Declaration of Condominium of BRANDYWINE CONDOMINIUM and the Articles of Incorporation of the Association, unless provided to the contrary in these By Laws, or unless the context otherwise requires.
